Khaitan & Co Advised JSW Energy On The Acquisition Of O2 Power SG For USD 1.47 Billion

Khaitan & Co advised JSW Energy Limited in relation to the acquisition of O2 Power SG Pte Ltd and its subsidiaries in India, jointly established by EQT Infrastructure and Temasek, comprising a total capacity of 4.7 GW, by JSW Neo Energy Limited, a wholly owned subsidiary of JSW Energy Limited, for a total consideration of USD 1.47 billion. This is one of the largest transactions in the renewable sector and the largest acquisition by JSW Energy Limited.

The core team at Khaitan & Co consisted of Partners Haigreve Khaitan, Siddharth Shah, Akhil Bhatnagar, Purti Minawala, Vivek Mimani; Principal Associates Aman Anand, Bhagirath Ashiya; Associates Palak Mohta and Shefali Prasad, with assistance from Partner Moin Ladha for regulatory aspects.

For due diligence, Partners Akhil Bhatnagar and Divya Chaturvedi, Principal Associates Bhagirath Ashiya, Niyati Bhatt, Srishti Rai, and Associates Palak Mohta and Ritika Neogi were involved.

In relation to real estate aspects, Partner Sudheer Madamaiah, Senior Associate Hareesha K S, and Associates Chinnamma K C and Harish Kugunavar assisted.

Competition law aspects were handled by Partners Anisha Chand and Anshuman Sakle, and Principal Associates Soham Banerjee and Tanveer Verma.

Partners Siddhartha Shukla and Lucy Curran from Herbert Smith Freehills advised JSW Energy Limited on the English law aspects of the transaction.

Khaitan & Co was involved in the due diligence of the Target SPVs for the transaction and in structuring, drafting, negotiating, and finalizing the transaction documents.
