DSK Legal assisted and advised Sahyadri Farms Post Harvest Care Limited ("SFPHCL"), Sahyadri Farmers Producer Company Limited ("SFPCL"), and Mr. Vilas Shinde ("Promoter") in relation to the Series B funding round raised by SFPHCL from responsibility, a Europe-based private equity fund ("rA"), and GEF Capital Partners, a US-based private equity fund ("GEF"), along with participation from all existing investors, namely, Incofin India Progress Fund ("Incofin"), Korys Investments NV ("Korys") (collectively, "Series A Investors"), and Société De Promotion Et De Participation Pour La Coopération Economique (Proparco) S.A. ("Proparco") and Nederlandse Financierings-Maatschappij Voor Ontwikkelingslanden N.V. ("FMO") ("Transaction"). The deal value for this Transaction is INR 390,00,00,000/-.
SFPHCL, a subsidiary of SFPCL, is India's largest fully integrated and tech-enabled horticulture platform. Sahyadri Farms operates an end-to-end fruits and vegetables supply chain, facilitating farmers/farmer producer organizations to grow international-quality produce, managing primary and secondary processing, and marketing the products to marquee international and domestic customers.
The scope of work of DSK Legal included the review, revision, and finalization of the term sheet to be executed between SFPHCL, SFPCL, Promoter, rA, and GEF; drafting, revising, negotiating, and finalizing the securities subscription and purchase agreement, restated shareholders' agreement, subscription letters for existing investors, and the disclosure letter; and advising and assisting SFPHCL, SFPCL, and the Promoter in the execution and closing of the Transaction.
