WFW Advised Atlante on acquisition of Ressolar e-mobility business unit in Italy

Watson Farley & Williams (WFW), a London-based international law firm, has advised Atlante S.r.l. (Atlante) on its acquisition of Ressolar S.r.l.'s (Ressolar) e-mobility business unit, representing a key turning point for e-mobility in Northern Italy.

The deal aims to boost and accelerate the energy transition in the automotive sector. The deal's closing remains subject to standard conditions precedents.

The business unit acquired includes a great number of public contracts and licenses for new e-mobility infrastructure located principally in municipalities within the area of Bergamo, Brescia, and Milan.

Atlante will add new e-charging points to its existing network infrastructure with this acquisition. The new e-charging points are all located close to the A4 highway, one of Italy's most economically important transport corridors.

Atlante aims to upgrade this new network with fast and ultra-fast charging devices.

Following the acquisition, Atlante and Ressolar will cooperate for the operation of e-charging infrastructure, the development of new sites, and the use of Ressolar's e-Mobility Service Provider.

Atlante is a company in the NHOA Group (NHOA.PA), a global leader in energy storage and e-mobility, active in the construction of the largest fast and ultra-fast charging network in Southern Europe.

The multidisciplinary WFW Italy team advising Atlante was led by Public Law, Regulatory & Competition Counsel Giannalberto Mazzei and Corporate Senior Associate Arianna Neri.

Public Law, Regulatory & Competition Associates Ludovica Cesari and Francesco Moroni, and Corporate Trainee Salvatore Riccardo Almanza have assisted in the due diligence process and in the negotiations of the contracts.

Tax advice was provided by Senior Associate Alfredo Guacci Esposito. Counsel Irene De Beni advised on the competition law aspects of the transaction.

The WFW team has worked closely with Atlante's senior legal Counsel, Giovanni Bertazzoli.
