Ropes, Nishimura, And MHM Advised On Bain Capital’s $634 Million Jamco Deal

U.S. investment fund Bain Capital has announced its $634 million acquisition of Japanese aircraft interior manufacturer Jamco, which will be taken private as part of the deal. Legal counsel for the transaction was provided by Ropes & Gray and Nishimura & Asahi, while Jamco turned to Mori Hamada & Matsumoto for representation.

The acquisition involves a tender offer set to commence in February, with a 20-business-day completion timeline. Jamco's shares are expected to be de-listed from the Tokyo Stock Exchange by mid-2025, Bain stated.

This transaction marks a significant step in Bain Capital's strategic expansion in Japan, where it has allocated $31 billion for investments over the next five years.

Last year, Bain completed several high-profile acquisitions in Japan, including the $694 million purchase of Red Baron Group, the nation’s largest used-bike dealer, with advice from Ropes & Gray and Anderson Mori & Tomotsune. Other notable deals included take-private offers for logistics and IT company Trancom ($491 million) and mobile phone distributor T-Gaia ($987 million), both also advised by Ropes & Gray.

Ropes & Gray’s Tokyo team for the Jamco deal was led by Private Equity Partners Tsuyoshi Imai and Saeko Inaba, with Finance Partner Ben Morris and Associate Takashi Nakamura. Antitrust advice was provided by the firm’s London team, including Counsel Rupert Phillips and associate Katherine Fielding.

Nishimura & Asahi’s team included Partners Yuki Oi, Kohei Ishida, Akihisa Yamamoto, Keisuke Kamiya, Shogo Eguchi, Yuki Sakurada, and Nobuhiro Tanaka, alongside Counsel Masatsugu Sakamoto.

The Mori Hamada & Matsumoto team advising Jamco Comprised Partners Katsumasa Suzuki, Takafumi Goto, and Yusuke Kobayashi.
