Pinsent Masons Acted on Bestinver Infra’s Consolidation in Irish Infrastructure Assets
Pinsent Masons, a legal advisory firm, has provided counsel to Bestinver Infra, FCR in their acquisition of the remaining shares in N6 (Concession) Holdings Limited and N6 (Operations) Ltd. The transaction also involves Japanese co-investor Daiwa Energy & Infrastructure Co. Ltd.
The target companies, N6 (Concession) Holdings Limited and N6 (Operations) Ltd, were granted concession rights by the Irish National Roads Authority (now Transport Infrastructure Ireland) on April 4, 2007. Their mandate includes the construction and management of the motorway leading up to Galway city.
Bestinver Infra, FCR, headquartered in Madrid, aims to significantly expand its ownership of infrastructure assets. Daiwa Energy & Infrastructure Co. Ltd., part of Daiwa Securities Group — one of Japan’s largest independent, full-service securities groups — leads the infrastructure investment business.
Pinsent Masons previously advised Bestinver Infra, FCR on their initial share purchase from Sacyr Concessions Limited, which concluded in September 2023. The remaining shares were held by Globalvia Inversiones Ireland Limited and Hegarty Concessions Unlimited Company. Agreements were reached to acquire the Globalvia and Hegarty interests in late 2023. Pinsent Masons teams across London, Madrid, Dublin, and Edinburgh collaborated with Bestinver to finalise both transactions, successfully achieving completion on March 6, 2024.
The legal team at Pinsent Masons, led by Sonal Shah (projects & finance partner in London), included support from Sam Roberts, Alex Kelly, and Gillian Frew (based in Edinburgh). Lawyers from various offices within the firm contributed, including the corporate team in Ireland (led by Dorian Rees and Maeve O’Brien) and the corporate team in Madrid (led by Rafael Durán Frías and Alvaro Estrada Reina).
Commenting on the deal, Sonal Shah expressed satisfaction, stating, “It’s been a pleasure to work with the Bestinver team and all stakeholders and their advisers on these transactions which signal an important consolidation of Bestinver’s entry into the Irish PPP market. Pinsent Masons’ collaboration with Bestinver and within and across multiple offices and skillsets facilitated a coordinated and efficient conclusion to the acquisitions, and into the next stage of asset management.”
