Gibson Dunn Advised ADIA On Strategic Investment In Fisher Investments

Gibson, Dunn & Crutcher LLP advised a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) on its strategic minority investment in Fisher Investments (FI). Partnering with Advent International, ADIA is committing between $2.5 billion and $3 billion to the investment.

The transaction, part of Fisher's estate planning, ensures FI retains its independence as a privately held investment adviser and asset management firm. Managing over $275 billion for 150,000 clients globally, including 120,000 U.S. private clients and 185 major institutional clients, FI's day-to-day operations and client relationships will remain unaffected by the investment.

ADIA, a globally diversified investment institution managing funds on behalf of the Government of Abu Dhabi through a strategy focused on long-term value creation.

Completion of the transaction is contingent upon customary closing conditions and regulatory approvals.

Gibson Dunn’s corporate team, led by Partners Candice Choh in Century City and Hanna Chalhoub in Dubai, played a pivotal role in advising ADIA. They were supported by David Koch-Weser, of Counsel in Los Angeles, and Irina Dykhne, Associate in Century City, ensuring comprehensive legal support.

Key contributions from the firm’s tax team, including Partner Kathryn Kelly and Associate Yara Mansour based in New York, addressed Intricate Tax Considerations. In antitrust and foreign direct investment matters, insights from Partner Attila Borsos in Brussels and Associate Jan Vollkammer in Frankfurt were crucial.

Navigating financial regulatory aspects, Partners Kevin Bettsteller in Century City and Michelle Kirschner in London were instrumental. Further support came from Sameera Kimatrai, of Counsel in Dubai, and Martin Coombes, Associate in London.

J.P. Morgan Securities LLC and RBC Capital Markets acted as joint financial advisors for Fisher Investments, with legal counsel provided by Paul Hastings. Ropes & Gray served as legal advisor to Advent International.
