Kirkland & Ellis represented Greenbelt Capital Partners on Strategic Investment from Wafra and Capital Constellation

Kirkland & Ellis served as legal counsel for Greenbelt Capital Partners, a private equity firm specialising in investments related to the long-term shifts in energy production and consumption.

The firm provided representation and advisory services to Greenbelt Capital Partners in connection with a strategic minority investment from Capital Constellation. Capital Constellation is an investment platform managed by Wafra Inc.

Capital Constellation, commonly referred to as "Constellation," is an investment platform that operates under the management of Wafra Inc. On the other hand, Greenbelt Capital Partners, also known as "Greenbelt," is a private equity firm specializing in investments within the New Energy Economy.

Chris Manning, the Managing Partner and Chief Executive Officer of Greenbelt, expressed great enthusiasm regarding the investment made by Wafra and Constellation. He highlighted that this investment serves as a robust endorsement of Greenbelt's investment strategy.

Manning further emphasised the excitement of partnering with a team that possesses the necessary experience and expertise to assist Greenbelt in accomplishing the next phase of its growth plan.

“We believe the ongoing transformation of the energy complex presents a generational investment opportunity for Greenbelt, and this partnership with Constellation will accelerate our growth and enable us to continue pursuing investment opportunities in the New Energy Economy,” added Glenn Jacobson, Managing Partner of Greenbelt.

“The deployment of private capital in the global energy transition effort is one that requires discipline and thoughtfulness in order to achieve effective financial and non-financial outcomes. We are confident that Chris, Glenn and the rest of the Greenbelt team are well positioned to continue to invest in the necessary progression of energy transition while maximizing value for their investors,” said Lauren Rich, Managing Director at Wafra.

“Constellation prides itself on identifying and partnering with differentiated alternative asset management firms, and in Greenbelt we’ve found a sector specialist with a tenured team and a likeminded approach to partnership,” said Adel Alderbas, Chief Investment Officer of Wafra.

The legal team from Kirkland & Ellis, led by corporate partner Emma Lange-Novak and investment funds partners Jordan Murray and Andrew Nichol, played a prominent role in the transaction.

The team also included corporate partner Shubi Arora, along with associates Nina Bertelli and Amanda Van Auken. Complementing their expertise, investment funds partners Matt Nadworny and Laura Stake provided valuable insights. Additionally, tax partners Lee Morlock and Adam Nguyen, as well as associate Grant Newman, contributed their specialized knowledge to ensure comprehensive legal counsel throughout the process.
