Khaitan & Co advised UTEC on its Minority Investment in Aerem Solutions

Khaitan & Co advised The University of Tokyo Edge Capital Partners Company Limited (UTEC) on subscribing to a significant minority stake in Aerem Solutions Private Limited, a company engaged in providing full-stack solutions for commercial and industrial solar projects targeting medium and small enterprises.

The INR 100-crore investment round was led by UTEC and included participation from British International Investment (BII), SE Ventures, Riverwalk Holdings, and existing investors Blume Ventures and Avaana Capital.

The Khaitan & Co core transaction team was led by Karun Cariappa (Partner) and Kartikeya Prakash (Partner), supported by Shaktibhushan Shukla (Senior Associate) and Dhruv Gupta (Associate).

On the tax aspects, the team comprised Bijal Ajinkya (Partner), Rahul Jain (Partner), Husain Bohra (Senior Associate), and Jinisha Jain (Senior Associate).

The Firm advised on all transaction-related aspects, including drafting, reviewing, and negotiating the transaction documents, and also provided execution and closing assistance.
