DSK Legal advised PREMO S.L. on its joint venture with Delta Manufacturing Ltd.

DSK Legal advised PREMO S.L. (“PREMO”) on its joint venture with Delta Manufacturing Ltd. (“DML”), a listed entity, pursuant to which PREMO acquired a 50% stake in MMG Ferrites Private Limited (“MMG Ferrites”), which was initially a wholly owned subsidiary of DML. As part of the joint venture, DML’s soft ferrite division, including its manufacturing capabilities, was transferred to MMG Ferrites by way of a business transfer.

PREMO, headquartered in Spain, is a leading developer and manufacturer of electronic components. DML is a prominent Indian manufacturer of soft ferrite cores. The joint venture aims to develop high-performance components to serve the growing needs of the automotive, telecommunications, smart grid, and IoT sectors.

DSK Legal advised PREMO on the review, revision, negotiation, and finalization of the share subscription and shareholders agreement, slump sale agreement, exclusive supply agreement, and other transaction-related documents, and also assisted with execution and closing of the transaction.
