Simpson Thacher, Anderson Mori & TMI Associates Advised On Blackstone’s Acquisition Of Infocom Corporation
Simpson Thacher & Bartlett, Anderson Mori & Tomotsune and TMI Associates advised on Blackstone’s acquisition of Tokyo-listed digital comics provider Infocom Corporation for USD 1.7 billion. This acquisition, described by Blackstone as the largest private equity deal announced or closed in Japan this year, began with Infocom Corp's board of directors approving a tender offer by BXJC II Holding on June 18th.
Simpson Thacher & Bartlett, in collaboration with Anderson Mori & Tomotsune, is providing legal counsel to Blackstone for this transaction. Anthony King from New York and Shahpur Kabraji from London lead the Simpson Thacher team handling Blackstone's legal affairs.
Meanwhile, TMI Associates has been retained by Infocom Corporation, listed on the prime section of the Tokyo Stock Exchange, to offer legal advisory services. TMI Associates, led by Partners Tatsuhiro Takahara and Kensei Ikeda, also assisted in ensuring fairness and mitigating conflicts of interest for the transaction's special committee.
Infocom Corporation's current parent company, Teijin, which holds a 57.65% stake, has opted not to participate in the tender offer. Instead, following the acquisition, Infocom will repurchase all shares held by Teijin through a stock repurchase program.
