Debevoise & Plimpton LLP has advised Clayton, Dubilier & Rice (CD&R) in its strategic partnership with Elevance Health, Inc. The partnership aims to merge certain care delivery and enablement assets of Elevance Health's Carelon Health with CD&R's portfolio companies, Apree Health and Millennium Physician Group (MPG).
This collaboration between Elevance Health, renowned for global health improvement, and CD&R, a leading private investment firm, is set to redefine primary care delivery, enhance the healthcare experience, and elevate health outcomes for individuals across the United States.
Apree Health brings cutting-edge digital navigation and clinical advocacy capabilities, alongside advanced primary care services designed to improve care outcomes and offer a unique patient experience, all while maintaining affordability. Carelon Health's network of 30 clinics will cater to high-risk members, including those with complex and chronic conditions. Additionally, MPG, a leading primary care-centric platform, boasts a vast network of nearly 900 healthcare providers across multiple states.
The investment in this strategic partnership will primarily consist of a combination of cash and equity interest in certain care delivery and enablement assets of Carelon Health.
