ANIMA advised by A&O Shearman in public tender offer by Banco BPM

The largest independent asset management group in Italy, ANIMA, has total assets under management of around EUR204 billion and over one million clients.

ANIMA Holding S.p.A. (the ‘Company’) and its independent directors were advised by A&O Shearman in relation to the voluntary public tender offer for all outstanding shares of the Company promoted by Banco BPM Vita S.p.A., a company controlled by Banco BPM S.p.A. that will begin on Monday, March 17, 2025.

Subject to certain conditions of effectiveness, the offer aims at delisting the Company. If the offer becomes effective in case the conditions of effectiveness are met or waived (as the case may be), the tendering shareholders will be paid a cash consideration of EUR7.00 (cum dividendo) for each tendered share in the voluntary tender offer for a possible maximum aggregate outlay of approximately EUR1.776 million by Banco BPM Vita S.p.A.
