General Corporate and Commercial
The Firm advises clients on the structuring and setting up of operations in India and the legal, regulatory and tax aspects of doing business in India.
Mergers and Acquisitions
The Firm assists its clients in choosing the right business structure. The Firm also advises its clients with issues involving organization, reorganization, acquisition and liquidation of various entities. In addition, the Firm also directs the purchase and sale of businesses in taxable and non-taxable transactions.
Capital Markets
Lex Favios has a veteran capital markets practice team that has assisted both large and small businesses in the legal and financial aspects of raising capital through the offering of equity and debt securities.
The members of the Firm have extensive experience in assisting issuers, underwriters, and equity holders on all aspects of Capital Markets activities for (i) Initial Public Offerings (IPO’s) (ii) Rights Issues (iii) Private Placements in both bond and equity markets (iv) Advisory services to listed companies and market intermediaries in the areas of statutory and regulatory compliances.
The team’s experience includes domestic and international equity offerings in multiple jurisdictions, including private placements of securities and possess the ability to offer expert, timely and cost effective advice on full range of equity and equity linked markets transactions. The members of the Firm have acted for numerous Indian companies listing on the domestic stock exchanges such as Bombay Stock Exchange and National Stock Exchange of India Limited and international stock exchanges.
Real Estate and Property Laws
The Firm regularly advises on the acquisition, investment, risk assessment, development, planning, environment, construction, property finance, transfer, sales, securitization and dispute resolution, in sectors like ports, hotels, plaza, etc. The team members have an expertise in advising on real estate transactions.
Taxation
The Firm assists clients with their needs to maximize tax benefits in corporate and financial restructurings. The Firm’s tax team offers expertise in numerous areas including corporate, finance, investment, banking, insurance, property, employment, estate and disputes.
Intellectual Property
The members of the Firm are experienced in the provisions of intellectual property and advice in both IP-specific matters as well as cross border transactional matters and regularly advises clients regarding domain name matters, security interests in intellectual property, licensing and franchising issues and associated aspects of IP-related commercial law, as well as other technology-related legal issues.
Drugs, Pharma, Medical Devices and Diagnostics Practice
Lex Favios and its team members have advised in setting up manufacturing units in India for pharmaceutical companies and R&D units in Special Economic Zones. The Firm practice includes rendering advise on safety issues, health care, product classifications, diagnostics, and pricing policy of drugs & devices.
The members of the team have extensive experience in advising on IP infringement of medical devices, pharma products, dietary supplements, proprietary medicines, drug and cosmetics laws, requirements and transactions involving the development, manufacture and commercialization of medicinal products (drugs or devices or any specialized product).
Private Equity and Fund Practice
The Firm’s private equity and corporate structuring lawyers assist domestic, multinational and foreign companies in making acquisitions and investments. The Firm’s experience covers the entire private equity spectrum, including structuring, making equity investments, negotiating bridge and debt financing for portfolio companies and structuring follow-on investments. Lex Favios advises regularly on setting up retail/franchise business in India and the regulatory approvals required in this regard, with respect to single brand retailing business.
The Retail & Franchising sector practice has a multi-disciplinary focus which addresses the specific needs of this industry given the number of areas of compliance and operational requirements of the business. Telecommunications, Media and Information Technology
The Firm has developed an expertise and niche in this area with experience in advising several global companies on legal, regulatory, tax and undertaking matters in relation to a broad range of transactional practice and advisory in issues concerning Telecommunications, Media and Information Technology issues.
Hospitality
The members of the Firm have experience in advising strategic investors in relation to disinvestment by the Government of India, of its shareholding in various companies, owning prominent hotels, structuring of investment and general advice relating to the transaction.

The Firm practice has a well-established regulatory practice in India. The Firm regulatory practice includes representing clients in regulatory proceedings before diverse regulatory authorities on diverse matters including issues related to merger control, abuse of dominance and anti-competitive behaviour, tariff determination, licensing, regulation and adjudicatory proceedings.

The Fund practice group has extensive experience in the structuring and setting up of complex domestic and international funds, and in providing advice over a wide range of investment strategies and asset classes.
