Rajah & Tann represented Temasek Holdings in Landmark $8.7 Billion Merger
Singapore-based law firm Rajah & Tann provided legal counsel to Temasek Holdings (Private) Limited, which is the majority shareholder of Sembcorp Marine Ltd and a substantial shareholder of Keppel Corporation Limited.
The firm provided legal advice on the landmark merger of Sembcorp Marine Ltd and Keppel Offshore & Marine Ltd, valued at S$8.7 billion.
The merger aims to create long-term sustainable value for two of the world's leading global O&M engineering and energy sector companies.
The merger not only caused a stir in the global offshore marine sector but is also considered a historic transaction that highlights Singapore's dedication to promoting green growth and its shift towards renewable and clean energy.
Sandy Foo, Chi Tern Hoon, Choon King Chua, Xin Mei Lee, Chen Chen Lim, JunYi Goh, Eugene Lee, Adzfar Alami, and Dodo Lim were the partners who led the transaction, which also included a connected deal involving the sale of Keppel Offshore & Marine Ltd's legacy rigs and associated receivables to a new entity held by Baluran Limited, Keppel, and Temasek, for which Rajah & Tann Singapore also acted for Temasek.
