Freshfields Represented Razor Group in Perch Acquisition and Financing Transactions
Global law firm Freshfields Bruckhaus Deringer is providing legal guidance to Razor Group in its acquisition of Perch, a prominent e-commerce aggregator based in the United States. This transaction coincides with Razor’s Series D funding round, which is spearheaded by Presight Capital. Additionally, Freshfields is assisting in the refinancing of the capital structure for the newly combined group.
The strategic collaboration aims to manage an extensive assortment of over 40,000 products across various online channels in the US, UK, EU, and Latin America. The ultimate goal is to achieve US$1 billion in topline revenue in the medium term and establish a global technology and e-commerce powerhouse.
Razor, headquartered in Berlin, was established by a team of seasoned e-commerce experts and serial entrepreneurs: Tushar Ahluwalia, Christoph Gamon, Shrestha Chowdhury and Dr. Oliver Dlugosch. The company’s core mission revolves around acquiring and managing profitable Amazon businesses and other online marketplace sellers. By infusing growth capital alongside e-commerce and technology expertise, Razor propels these acquired ventures toward their next phase of growth. Describing itself as a technology-driven e-commerce enterprise, Razor strategically positions world-class consumer products across relevant categories on leading global marketplaces.
Since its inception, Freshfields has provided legal counsel to Razor across a spectrum of debt and equity financing transactions. Additionally, Freshfields played a pivotal role in Razor’s strategic acquisitions, including the purchase of Valoreo, a prominent Latin America-based e-commerce company in 2022, and the acquisition of The Stryze Group, a leading German e-commerce player, in 2023.
The transatlantic Freshfields team collaborates closely once more with Razor’s in-house legal team, led by General Counsel André Schneider and Legal Counsel Hans von der Heyde. Both Schneider and von der Heyde played pivotal roles in the legal and commercial negotiations, tax structuring of the various transactions, and overall project coordination. Additionally, they worked alongside in-house M&A specialist Ben Li to ensure seamless execution.
