Freshfields Represented Keppel in Proposed Aermont Capital Acquisition Deal
Freshfields Bruckhaus Deringer (Freshfields) is providing legal counsel to Keppel Corporation Limited (Keppel) in its acquisition of Aermont Capital (Aermont), a prominent European real estate manager, through an agreement with Aermont Capital SCSp.
Aermont, founded in 2007, is an independent asset management firm specialising in real estate and real estate-related investment activities across Europe. In 2023, PERE ranked Aermont as the top European real estate firm in terms of funds raised over the past five years. Its portfolio includes the internationally renowned Pinewood Studios in the UK.
Keppel, a global asset manager and operator, possesses extensive expertise in sustainability-related solutions across infrastructure, real estate, and connectivity. Headquartered and listed in Singapore, Keppel operates in over 20 countries worldwide and manages over S$65 billion in assets.
The acquisition will unfold in two phases. Keppel will initially acquire a 50 per cent stake in H1 2024, subject to regulatory and other approvals, with the full acquisition anticipated in 2028. The consideration for the acquisition will be funded through a combination of cash and Keppel shares.
The Freshfields team is spearheaded from London by Richard Johnson, who is joined by Alastair Mordaunt, an antitrust expert; James Smethurst, a financial services regulatory specialist; Keith Chapman, a funds expert; Jill Gatehouse and Emily Szasz, tax experts; David Mendel, an employment and pensions specialist; Vikki Hills, a real estate expert; and Giles Pratt, an IP/IT expert.
