Freshfields Advised Alpha Dhabi On Additional Equity Stake In Gordon Technologies By Enersol
The deal was worth approximately $270 million
Freshfields Bruckhaus Deringer has advised Alpha Dhabi Holding PJSC on the acquisition of an additional equity stake in Gordon Technologies LLC by Enersol RSC Ltd.
Enersol is a joint venture of Alpha Dhabi and ADNOC Drilling Company PJSC. It will acquire an additional 42.206 percent equity stake for approximately $270 million. This will lead Enersol to become a majority holder with an equity stake of 62.7 percent.
Previously, Freshfields Bruckhaus Deringer advised Alpha Dhabi in 2022 on its acquisition of a 25 percent stake in Gordon. In 2024, it was contributed to Enersol.
The Freshfields Bruckhaus Deringer team was led by New York-based Partner Andrea Basham, Counsel Michal Netanyahu, Senior Associate Dilara Alpli and Associate Nicole Johnson.
Antitrust matters were dealt with by Partners Bruce McCulloch and Maria Dreher-Lorje, Special Counsel Meytal McCoy and Associate Daniel Metz.
Tax matters were taken care of by Partner Joe Soltis, Counsel Dennis Caracristi and Associate Jessica Berman.
Advice on executive compensation and employee benefits was provided by Partner Brandon Gantus, Senior Associate Andrew Herman and Associate Sonia Bennett.
