Cooley Advised Advanced Instruments On Acquisition And Merger With Nova Biomedical
The closing depends on regulatory approval and is expected during the third quarter of this year.
Cooley advised Advanced Instruments – a subsidiary of Patricia Industries and a manufacturer of analytical instruments for the biopharmaceutical and clinical markets – on licensing and intellectual property (IP) aspects with respect to its definitive agreement to acquire Nova Biomedical, an innovative analytical instruments and consumables manufacturer. After closing of the transaction, Advanced Instruments and Nova Biomedical will merge to create a platform for global life sciences tools that will run under the Nova Biomedical name, with a differentiated range of analytical instruments, reagents and services. The closing depends on regulatory approval and is expected during the third quarter of this year.
The Cooley team that advised Advanced Instruments on the IP and licensing aspects of the agreement was led by Partners Joanna Liebes Hubberts, Charity Williams and Mika Reiner Mayer; patent agent Lisa Amii; and associate Michael Fernando. The team was supported by IP senior patent prosecution specialist Tim Stone and senior trademark paralegal Gayana Stokes. Advanced Instruments has been advised by Cooley on IP due diligence matters since 2016.
