Norton Rose Fulbright Advised Carlsberg Breweries A/S on US$744 Million Acquisition
Global law firm Norton Rose Fulbright (Asia) LLP has advised Carlsberg Breweries A/S on the acquisition of the remaining shares in Carlsberg South Asia Pte Ltd (CSAPL) from its former joint venture partner, CSAPL (Singapore) Holdings Pte Ltd. As part of the transaction, CSAPL has also entered into an agreement to acquire an additional 9.94% stake in Gorkha Brewery Private Limited (GBPL), which operates Carlsberg’s businesses in Nepal. CSAPL, the holding company for Carlsberg’s operations in India and Nepal, will now have full control of its Indian business and a 99.94% stake in its Nepalese business. The total value of the transaction is US$744 million.
This acquisition allows Carlsberg to consolidate its operations in Nepal and assert full control over the GBPL business, which will now be fully included in Carlsberg’s accounts. With control over two key Asian markets, India and Nepal, Carlsberg is poised to accelerate its global strategy and invest further in these high-growth markets. This landmark deal is one of the largest corporate share transactions in Nepal’s history, marking a significant milestone in the country’s corporate sector.
The transaction was led by Singapore-based Partner Craig Loveless, with support from Senior Associate Dexter Tan. The advisory team also included Partners Dominic Stuttaford and Katie Chung, Singapore Ascendant Legal Managing Director Chew Kei-Jin, Senior Associates Ang Kai Ye and Chris Bell, Associates Wong Yan Yee and Elisabeth Trotter, Legal Executive Nina Stammbach, and Trainee Solicitor Rebecca Bell.
