Latham & Watkins Advised ArcLight Capital Partners on Acquisition of 25% Interest in NGPL
Latham & Watkins LLP advised ArcLight Capital Partners, LLC on its acquisition of a 25% minority interest in NGPL Holdings LLC from Brookfield Infrastructure Partners L.P. (NYSE: BIP; TSX: BIP.UN).
Following the transaction, ArcLight-controlled funds will increase their stake in NGPL Holdings to 62.5%, while Kinder Morgan, Inc. (NYSE: KMI) will continue to operate NGPL Holdings assets and retain its 37.5% interest. The deal is expected to close in Q2 2025, subject to customary closing conditions.
NGPL Holdings LLC operates Natural Gas Pipeline Company of America (NGPL), a major transporter of natural gas across the United States, providing critical energy infrastructure.
