Trilegal Advised Rozana On Securing USD 22.5 Million In Series A Fundraise
Trilegal advised Freshcartons Retail and Distribution Private Limited, operating under the brand name ‘Rozana’, and its promoters, in their Series A fundraise of an amount equivalent to USD 22.5 million from Bertelsmann Nederland B.V., Fireside Ventures, and 3one4 Capital.
Rozana operates by facilitating retail transactions of various consumer goods in small Indian towns and villages, overcoming challenges such as poor connectivity and inadequate infrastructure. It employs a unique model wherein local representatives, known as 'peer partners', facilitate order placement, delivery, and payment collection, ensuring a wider range of product options, improved quality, and competitive pricing for rural consumers, while also offering entrepreneurial opportunities for these 'peer partners'.
Rozana's capital table boasts notable investors including Vivek Gupta (Founder of Licious), Manisha Girotra (CEO of Moelis), Surendra Kumar Jain (Former Co-Founder and Managing Director of Sequoia & Westbridge Capital), Ramesh Damani, and Catapult Advisory LLP.
Trilegal served as legal counsel for Rozana and its founders throughout the negotiation, finalization of deal documents, and closure of the transaction. The transaction team at Trilegal, led by Corporate Partners Amit Khansaheb and Abhishek Dubey, included Ishita Sinha, Senior Associate, and Pallov Upadhyay, Associate, who played crucial roles in the process.
Bombay Law Chambers acted as the transaction counsel for Bertelsmann and Fireside Ventures, while 3one4 Capital was represented by its in-house legal team.
