Shardul Amarchand Mangaldas advised Morgan Stanley Private Equity Asia
Shardul Amarchand Mangaldas & Co. acted as the legal advisor for NHPEA Rimo Holding BV (an investment entity of Morgan Stanley Private Equity Asia) in relation to its third round of investment in Kogta Financial (India) Limited ("Target") pursuant to the Series E fund raise by the Target, by way of (i) subscription to Series E Preference Shares of the Target and (ii) purchase of equity and preference shares from IIFL Seed Ventures Fund I and Promoter Management (namely, Mr. Arun Kogta, Mr. Varun Kogta and Mr. Nayan Kogta).
The fund raise was led by Multiples Private Equity (Multiples) and Canada Pension Plan Investment Board (CPPIB), and the Creador IV LP (Creador), an existing investor in the Target, also participated in this round.
The transaction team was led by Nivedita Tiwari, Partner; Akshaya Iyer, Principal Associate; Kuhuk Jain, Senior Associate; Gunjan Garg, Associate. Nivedita Tiwari, Partner; Devesh Pandey, Partner.
Akshaya Iyer, Principal Associate advised on the regulatory aspects of the transaction.
Trilegal, JMP Law, Cyril Amarchand Mangaldas and Khaitan and Co. advised Target and Promoter Management, IIFL, Multiples and CPPIB, and Creador, respectively.
The deal is valued at approximately USD 111 million.
