Osaka Gas Singapore Advised By Khaitan & Co On JV With Clean Max Enviro Energy Solutions Pvt. Ltd.

Osaka Gas Singapore advised by Khaitan & Co on JV with Clean Max Enviro Energy Solutions Pvt. Ltd.
The collaboration aims at developing and managing renewable energy projects with an initial focus on establishing around 400 megawatts of renewable assets.
Osaka Gas Singapore, a subsidiary of Osaka Gas Japan, was advised by Khaitan & Co on a joint venture (JV) with Clean Max Enviro Energy Solutions Pvt. Ltd. backed by Brookfield.
A consortium, DJ Renewables Pte Ltd (JP Conso), is being formed in Singapore by Osaka Gas Singapore along with the Japan Bank for International Cooperation (JBIC). The consortium will form a JV with Clean Max Enviro Energy Solutions Pvt. Ltd. to further renewable energy initiatives in the country. Osaka Gas Singapore was advised by Khaitan & Co on this JV.
Dibyanshu (Partner), Raja Kishore (Principal Associate), and Sathyajith Nair (Principal Associate) constituted the transaction team which advised on the JV with Clean Max. Prateek Bhandari (Counsel), Ishita Gupta (Senior Associate), Srijita Jha (Senior Associate), and Abhishek Sharma (Associate) assisted with due diligence.
After closing, the JV between Clean Max and JP Conso will be called Clean Max Osaka Gas Renewable Energy Pvt. Ltd. with 51% held by Clean Max and 49% by JP Conso. Select renewable energy projects will be transferred to the JV by Clean Max. The JV aims to own and develop around 400 MW of assets in the next three years.
