Luthra And Luthra Law Offices India Acted As Sole Advisor For Ujjivan Group's Companies In Reverse Merger
Luthra and Luthra Law Offices India played a pivotal role as the exclusive legal advisor in orchestrating the Reverse Merger between the Ujjivan Group's listed entities - Ujjivan Financial Services Limited, a registered NBFC under the RBI, and its subsidiary Ujjivan Small Finance Bank Limited, a listed Bank. This substantial reverse merger, boasting a transaction value of approximately INR 70 Billion, marks a significant strategic move within the financial sector.
The Reverse Merger received the final approval from the National Company Law Tribunal, Bangalore, on April 19, 2024.
The core transaction team, led by Partner Harish Kumar and Partner Designate Itee Singhal, Included Associate Nupur Gupta.
Additionally, Partner G.R. Bhatia, Partner Designate Arjun Nihal Singh, and Associate Sanyam Juneja contributed their expertise in advising on Competition Law Aspects.
