Link Legal Advised Ami Organics Acquisition in Baba Fine Chemicals
Link Legal has advised and assisted Ami Organics Limited in its acquisition of majority stake of 55 per cent in Baba Fine Chemicals. The acquisition will be funded through a combination of cash and issuance of securities of Ami Organics on a preferential basis.
Ami Organics is a company listed at the National Stock Exchange (NSE) and is a major player in the manufacture of active pharmaceutical ingredients and specialty chemicals.
Baba Fine Chemicals manufactures chemical products for the semiconductor industry and is the sole manufacturer of certain product categories in the country.
The acquisition will herald Ami Organics foray into the semiconductor industry which has a very high entry barrier. It would give Ami Organics access to the complementing products of Baba Fine Chemicals, which are focused on the semiconductor industry and expand its product basket in electronic chemicals.
The scope of work included conducting due diligence on Baba Fine Chemicals, preparing, negotiating, and finalizing the definitive agreements in the acquisition transaction.
