Lakshmikumaran and Sridharan advised a multi-jurisdiction transaction for High Eximpetro
Lakshmikumaran and Sridharan (LKS) advised a significant cross-border Corporate Advisory and M&A transaction. The firm assisted High Eximpetro Private Limited to acquire 50% equity stake in offshore companies situated in Italy and Hong Kong and formation of joint venture in India.
High Eximpetro acquired 50% equity stake of Sperry Wictor S.R.L, Italy (brownfield joint venture), 50% equity stake of Wictor China Limited, Hong Kong (brownfield joint venture) and 50% stake in greenfield joint venture in India.
LKS played a crucial role in aiding High Eximpetro on the Indian law perspectives detailing around regulatory aspects, drafting of share sale and purchase agreements, joint venture agreements and other transaction documents and negotiation of transaction documents.
The transaction was led by Sudish Sharma, Executive Partner along with his team including Apeksha Bansal, Principal Associate and Shivank Arora, Senior Associate from LKS.
Sudish Sharma, Executive Partner LKS said, "Being a multi-jurisdiction transaction (involving Italy, Hong Kong and India), several critical aspects were required to be dealt with to enable the joint venture partners to realize their vision of achieving synergies in the identified business."
Along with LKS, the in-housel teams of Sperry Wictor S.R.L, Italy and Wictor China Limited, Hong Kong played an instrumental role in concluding this acquisition.
