Kilburn’s Acquisition of M.E Energy Advised by Khaitan and Spice Route Legal
The payment was made partly in cash and by way of issuance of shares to the promoter
Kilburn Engineering Ltd has acquired M.E Energy Private Limited for an aggregate consideration of Rs.98.70 crores.
While Khaitan & Co advised Kilburn Engineering on the acquisition deal, Spice Route Legal advised M.E Energy.
Post the acquisition, M.E Energy has become a wholly owned subsidiary of Kilburn Engineering. It is a decisive step for Kilburn to emerge as a comprehensive solution provider in the field of thermal engineering and heat recovery systems.
The deal was done partly in cash and through the issuance of shares of Kilburn to the promoter of M.E Energy.
The core team of Khaitan & Co comprised Shourya Sengupta (lead partner), Sneh Lata (principal associate), Vibhav Seth (associate), Rusha Ghosh Dastidar (associate) and Unnati Khanna (associate).
They were supported on varied aspects by:
Intellectual property: Shailendra Bhandare (partner), Sourav Dan (principal associate) and Kinjal Parikh (associate).
Employment: Abhinav Rastogi (partner) and Ransher Singh (associate)
Tax: Amit Ganatra (executive director) and Akshara Shukla (senior associate)
Competition law: Anisha Chand (partner) and Siddharth Bagul (senior associate).
The Spice Route Legal team was led by Praveen Raju (partner), with support from Janhavi Joshi (senior associate), Pranjal Pandey (associate) and Chirag Rathi (associate).
