Khaitan & Co advised Valuetree Ingredients in Majority Stake Sale to IMCD India
The transaction will take place in two tranches
Prestigious law firm Khaitan & Co has advised Valuetree Ingredients Private Limited on the sale of its 70 percent shareholding to IMCD India Private Limited.
With IMCD India acquiring most of the share capital from the shareholders, it will obtain the remaining 30 percent in 2025. Meanwhile, the founders of Valuetree will continue to lead the company post-completion of the first tranche.
The core team of Khaitan & Co comprised Shourya Sengupta (Partner), Saswat Subasit (Partner), Sneh Lata (Principal Associate), Sheldon Dsouza (Senior Associate), and Hansaja Pandya (Associate).
They were assisted by:
Vendor's due diligence: Utsav Mitra (Associate), Priyal Reddy (Associate), Shramana Dwibedi (Associate), and Joysurjo Roy (Associate).
Employment law: Abhinav Rastogi (Partner), Ajeta Anand (Associate), and Ransher Singh (Associate).
Intellectual property law: Shailendra Bhandare (Partner), Sourav Dan (Principal Associate), and Vaishali Adhikari (Associate).
Founded in 2005, Valuetree is a prominent ingredient supplier to the beauty and personal care market. It provides an extensive portfolio of specialty ingredients. Through an in-house application laboratory, it offers formulation and technical support to its customers. Comprising 44 employees, the company generated a revenue of approximately Rs.4.4 billion (ca. EUR 48 million) in the financial year 2022-2023.
