Khaitan & Co Advised Renesas Electronics In OSAT Joint Venture In India
Khaitan & Co assisted and advised Renesas Electronics Corporation (Renesas) in its joint venture with CG Power and Industrial Solutions Limited and Stars Microelectronics (Thailand) Public Co. Ltd. to establish an Outsourced Semiconductor Assembly and Testing (OSAT) facility in India.
The advisory role encompassed navigating regulatory considerations related to subsidies and incentives under government schemes focused on semiconductors, structuring Renesas’ investment into the joint venture under Indian law and tax regulations, reviewing and negotiating the joint venture agreement and ancillary documents, and addressing other joint venture-related matters under Indian legal perspectives.
