Dhanraj Mulki, Former Vice President Legal and Company Secretary of INOX Leisure Limited, after leaving Inox in April recently joined Mahindra Holidays as its General Counsel and Company Secretary and is part of the leadership group.
In his previous role at Inox, Dhanraj was responsible for the legal, company secretarial, and liaisoning (licensing) functions across India, corporate governance, statutory licenses for the multiplex business, all statutory and legal compliance of the laws applicable to the Company, contract management, legal advisory role, compliance officer as per the listing agreement with Stock Exchanges, Contract management, property and all real estate matters - lease, leave and license, management contract, litigation, compliance, F & B matters, cinematography laws, entertainment tax laws, labour laws, shareholders grievance management, Companies Act 2013, SEBI laws, etc.
Prior to joining Inox, Dhanraj was Head Legal and Company Secretary at Roots Corporation Limited -Ginger Hotels, A TATA Enterprise (May 2005 – August 2015); Company Secretary & Sr. Manager Legal at Kuoni Travel India Ltd (March 2001 – December 2004); Company Secretary at Centurion Bank Limited (May 1997 – February 2001); Asst. Company Secretary at TATA SSL Limited (May 1996 – May 1997); and Company Secretary at Bubna Major Biotech Limited (November 1994 – May 1996).
Dhanraj has more than 21 years’ experience in legal, company secretarial, and compliance functions with reputed Indian and Global corporate groups across industries like Insurance, steel and wires, finance and banking, travel and tourism, hospitality, entertainment ( multiplex).
He has handled varieties of assignments ranging from startup companies, i.e., in setting up of new businesses and ramping up of the business by adding new locations Pan India, legal due diligence for Private Equity ( PE) investment in the Company, Initial Public Offer (IPO) and Rights Offer for companies, Buy back of shares, setting up of subsidiaries in multiple countries, Corporate restructuring through Scheme of Arrangement and Scheme of Amalgamation, Mergers and acquisition of companies, all land acquisition and property-related matters including sale and acquisition of land Pan India, proficiency in obtaining mandatory licenses for setting up hotels Pan India and for also setting up bank branches across India, proficiency in contract management and litigation management, Intellectual Property Rights (IPR), among others.
Dhanraj has also been part of the Leadership team for the past 15 years in different companies and plays an important role in formulating strategy, compliance of all corporate laws including Companies Act, SEBI laws, Real estate laws, legal due diligence.
