DSK Legal Advised TSR Darashaw On Sale Of TSR Darashaw HR Services To Teamlease Services
DSK Legal assisted and advised TSR Darashaw Private Limited ("Seller") in relation to sale of 100% of the share capital of TSR Darashaw HR Services Private Limited ("Company"), a wholly owned subsidiary of the Seller, to Teamlease Services Limited ("Acquirer") ("Transaction") in two tranches.
The Company is inter alia engaged in the business of providing payroll processing solutions to multi-locations, requirements of clients across India ("Business"). multi-business-unit
The Acquirer is a public company, listed on NSE and BSE, and engaged in the business of offering comprehensive recruitment services and payroll solutions.
DSK Legal's scope of work included: (i) drafting, reviewing, revising, negotiating and finalizing the share sale and purchase agreement and other ancillary documents related to the Transaction; and (ii) drafting and reviewing pre-closing and closing transaction documents; and (iii) assisted in achieving execution and completion of the Transaction.
The DSK Legal team which represented the Seller and the Company comprised of Principal Associate Pooja Khanna, Senior Associate Aishwarya Kapoor and Associate Sonali Tiwari.
Partner Hemang Parekh acted as the lead engagement partner and gave strategic inputs on the Transaction.
