The law firm team assisted in reviewing the joint-venture between the two entities
The New Delhi-based law firm DSK Legal has advised Germany's F S Fehrer Automotive GmbH, an international specialist in automobile interior components, relating to its exit from Harita Fehrer Limited (HFL).
This happened by way of the sale of a 49 percent shareholding to Minda Industries Limited (MIL). The Company was a joint venture between Harita Seating Systems Limited (HSSL) and Fehrer.
Pursuant to the transaction, the HFL will become a wholly-owned subsidiary of Minda. A leading manufacturer of seating systems in India, it specializes in the manufacture and supply of driver seats and bus passenger seats for commercial vehicles, tractors and off-road vehicles.
DSK Legal assisted Fehrer in reviewing the joint-venture agreement executed between HSSL and Fehrer and drafting of notices and responses; negotiating, amending and finalizing the share purchase agreement; amending and finalizing various other ancillary documents/agreements; assisting in the execution of the definitive documents; and assisting in closing the transaction.
The DSK team representing Fehrer comprised Hemang Parekh (Partner); Jayesh Kothari (Associate Partner); and Hemanshi Gala (Associate).
While KPMG International, a global network of professional firms providing audit, tax and advisory services, acted as financial advisors to Fehrer, the in-house legal team represented the HFL and MIL.
