DSK Legal Advised Cacti Legal On Its Acquisition By Execo Group Inc.
DSK Legal represented Cacti Legal Services LLP (Cacti Legal) and its founders (Founders) in relation to the sale of the Founders' partnership interest culminating to 100% acquisition of Cacti Legal by Execo Group Inc., a Delaware corporation (Acquirer), in lieu of stock and cash consideration.
Cacti Legal is an Al-led alternative legal services firm that is engaged in the business of, inter alia, providing technological solutions and creating design platforms to support and assist the legal services industry, providing legal managed services and technology managed services, including resource augmentation and recruitment.
DSK Legal assisted and advised Cacti Legal and Founders in structuring, negotiating, and finalizing the Indian leg of the transaction which pertained to the acquisition of Cacti Legal resulting in the complete assimilation of Cacti Legal with the Acquirer, as well as the overseas leg of the transaction which pertained to:
a) subscription of Acquirer's securities by the Founders; and
b) structuring and finalisation of the Founders' revenue-linked earnout structure.
The re-investment by the Founders of the cash consideration received by Cacti Legal for the purchase of common stock of the Acquirer under the regulatory framework and related conditionalities prescribed by the RBI under the Overseas Direct Investment (ODI) regime served as a key consideration while structuring and advising on the transaction.
The DSK Legal team advising on the transaction comprised of Mr. Chirag Jain (Associate Partner) and Ms. Shreya Singh (Senior Associate) and was assisted by Mr. Yash Wardhan Tiwari (Associate) and Ms. Ria Mishra (Associate) in structuring and advising on the transaction.
Mr. Rishi Anand (Partner) acted as the lead engagement Partner and gave strategic inputs on the transaction.
Sudath Perera Associates (Sri Lanka) and Phoenix Legal acted as advisors to the Acquirer.
