DSK Legal Advised Appario on Sale of Business to Clicktech
DSK Legal advised and assisted Appario Retail Private Limited ("Appario") in relation to the sale of its business undertaking, by way of slump sale, to Clicktech Retail Private Limited ("Clicktech").
Appario is a wholly owned subsidiary of Frontizo Business Services Private Limited, formerly a joint venture of Amazon Asia-Pacific Holdings Private Limited and Zodiac Wealth Advisors LLP. As a registered seller on www.amazon.in ("Amazon Marketplace"), Appario was engaged in undertaking retail trading on Amazon Marketplace largely across three product categories wireless devices and accessories, consumer electronics, and personal computing hardware.
DSK Legal, in addition to undertaking limited diligence on Appario and drafting, negotiating, finalizing, and executing the business transfer agreement; also assisted Appario in the structuring of the transaction, including devising various models for transfer of different components of the undertaking (such as the assets, trade receivables, inventory, employees, and material contracts) such that there occurs no interruption in the continuity of the transferring business.
