DSK Legal advised a group of investors on 100% acquisition of Bluebrahma Clean Energy
With the government promoting environmental friendly sources of fuel, it is a good investment opportunity for companies
Leading law firm DSK Legal has advised a consortium of investors including GBL Clean Energy Private Limited, Golden Agri International Enterprises Private Limited and K N Agri Resources Limited for their investment in Bluebrahma Clean Energy Solutions Private Limited.
It also advised the company on 100 percent acquisition of the shareholding of Sagar Industries and Distilleries Private Limited from the existing shareholders Nandu Kalani, Nirmal Kalani and the Kalani family members regarding 95 acres of land adjacent to the existing manufacturing facility at Nashik.
The Company is engaged in the business of manufacturing raw material like molasses, grain and/or sugar cane juice, extra neutral alcohol, ethanol, rectified spirit and special denatured spirit. It hopes to be one of the leading ethanol suppliers in the country under the Government of India's Ethanol Blending Programme and National Policy on Biofuels.
The DSK Legal team advised on the overall structure of the transaction; conducting legal due diligence on the Company and the land; drafting, reviewing, negotiating and finalizing the share purchase agreement executed amongst the holding company and the existing shareholders; share subscription and shareholder's agreement; sale deeds executed between the holding company and the land owners; other ancillary documents in relation to the transaction; and assisting in execution and closing of the transaction.
