Cyril Amarchand Mangaldas Advised SEDEMAC Mechatronics
Cyril Amarchand Mangaldas (CAM) advised SEDEMAC Mechatronics Private Limited (SEDEMAC) in relation to acquisition of the minority shareholding by Xponentia Opportunities Fund-II, A91 Emerging Fund II LLP, 360 One Special Opportunities Fund - Series 8 and 360 ONE Monopolistic Market Intermediaries Fund, from the existing shareholders of SEDEMAC.
SEDEMAC manufactures innovative and critical-to-the-application control products, incorporating fresh control technologies conceived and developed in-house, to leaders of large markets across the globe. CAM played a crucial role as the legal advisor to SEDEMAC, assisting with the overall structuring of the transaction, undertaking a vendor due diligence on SEDEMAC, drafting & negotiating transaction documents, including various agreements, and smooth execution and closing of the transaction.
The General Corporate team of Cyril Amarchand Mangaldas advised on the matter. The transaction team was led by Siddharth Hariani, Partner; with support from Vaishnavi Eshwar, Senior Associate; and Piyush Langade, Associate.

Other parties to the transaction included Xponentia Opportunities Fund-II (represented by its investment manager Xponentia Capital Partners LLP), A91 Emerging Fund II LLP , 360 ONE Special Opportunities Fund - Series 8, 360 ONE Monopolistic Market Intermediaries Fund, Iron Pillar India Fund I, Iron Pillar Fund I Limited & NRJN Family Trust, along with their respective legal advisors.
The transaction was signed on 26th April, 2024 and closed on 30th May, 2024.
