Cyril Amarchand Mangaldas Advised Motilal Oswal Financial Services Ltd. And Lead Managers In Issuance Of NCDs
Cyril Amarchand Mangaldas (CAM) advised Motilal Oswal Financial Services Limited and Lead Managers in the issuance of secured, rated, listed redeemable non-convertible debentures (NCDs) of face value of Rs. 1,000 each for an amount aggregating up to Rs. 500 crores (Base Issue Size) with an option to retain oversubscription up to Rs. 500 crores aggregating up to 1,00,00,000 NCDs for an amount up to Rs. 1,000 crores (the Issue).
CAM acted as the transaction counsel for Motilal Oswal Financial Services Limited and the Lead Managers, i.e., Trust Investment Advisors Private Limited, Motilal Oswal Investment Advisors Limited, and Nuvama Wealth Management Limited (formerly known as Edelweiss Securities Limited)) for Motilal Oswal Financial Services Limited’s through the issuance process.
The Capital Markets team of Cyril Amarchand Mangaldas advised on the matter. The transaction team was led by Vijay Parthasarathi, Partner & Regional Co-head Markets Practice (Southern Region); with Support from Pragya Gupta, Associate; Vishesh Jain, Associate; Nimrah Rasheed, Associate; and Lajja Mehta, Associate.
Lakshmi Prakash, Partner; with support from Kushal Rohira, Principal Associate; Kalpalathikaa M, Associate; and Anish Meduri, Associate; advised on Project and Project Finance Related aspects of the transaction.
Other parties and advisors to the transaction included Trust Investment Advisors, Nuvama Wealth Management Limited, and Motilal Oswal Investment Advisors Limited, who acted as book running Lead Managers to the issue.
The transaction was signed on 12th December 2023 and closing was done on 9th May 2024.
