Cyril Amarchand Mangaldas Advised Amphenol Corporation On $2.1 Billion Acquisition Of CommScope's Mobile Network Business
Cyril Amarchand Mangaldas (CAM) advised Amphenol Corporation on Indian law aspects in respect of its acquisition of the CommScope Group's mobile network business for an aggregate of USD 2.1 Billion. Amphenol Corporation (Client) has entered into a Purchase Agreement dated July 18, 2024, with CommScope Holding Company, Inc (Purchase Agreement), to acquire the mobile networks businesses of the CommScope Group, subject to customary post-closing adjustments.
The deal includes the acquisition of the CommScope Group's Outdoor Wireless Networks (OWN) segment as well as the Distributed Antenna Systems (DAS) business, which resides in CommScope’s Networking, Intelligent Cellular and Security Solutions (NICS) segment (the Transaction).
CAM team provided comprehensive legal counsel on the Indian law aspects of the Transaction, including due diligence, transaction structuring and advisory, and review of documents.
The transaction team was led by Anchal Dhir, Partner; with support from Varun Kannan, Senior Associate; and Navjot Chhabra, Associate.
Bishen Jeswant, Partner; with support from Krithika Radhakrishnan, Principal Associate; and Shivika Gupta, Associate; advised on Employment law-related aspects of the Transaction.

SR. Patnaik, Partner; and V.P. Thangadurai, Principal Associate; advised on taxation-related aspects of the Transaction.
Other parties and advisors to the transaction included Latham & Watkins LLP, which acted as international legal counsel for Amphenol Corporation.
The transaction was signed on 18th July 2024.
