Clyde & Co Advised Gordon Drilling Technologies on Acquisition of Vertex Downhole Trading
Global Law Firm Clyde & Co Has Provided Legal Counsel to Gordon Drilling Technologies LLC ("Gordon") in Its Acquisition of 100% of the Share Capital of Vertex Downhole Trading LLC ("Vertex UAE"). As Part of the Deal, Gordon Will Also Acquire the Intellectual Property Rights to Winc, Winc+, and Mudlink Technologies.
This Acquisition Will Accelerate Gordon's Global Expansion and Enhance Its Offerings inthe Measurement While Drilling ("MWD") Market, Allowing the Company to Broaden Its Premium Product Portfolio and Extend Its Services to Vertex UAE’s Customer Base Across 30 Countries.
Gordon Is Majority Owned by Enersol, a Joint Venture Between ADNOC Drilling Company PJSC and Alpha Dhabi Holding PJSC. Headquartered in Scott, Louisiana, Gordon Is a Prominent Independent Provider of MWD Technology to the Directional Drilling Sector of the Oil and Gas Industry.
Clyde & Co Advised Gordon on All Aspects of the Acquisition, Including Legal Due Diligence, the Preparation and Negotiation of Transaction Documents, and the Completion of the Deal.
The Legal Team Was Led by Naji Hawayek, Partner and Head of Corporate – Middle East, and Senior Associate Nisha Johar, Both Based in Dubai. They Were Supported by Legal Director Afraz Hussain and Trainee Urmika Mani, Both of Whom Are Also Based in the Dubai Office.
