The consolidation of legal entity structure would unlock efficiencies and synergies

Tata Consumer Products Ltd (TCPL), the Fast-Moving Consumer Group (FMCG) maker, has merged its three wholly-owned subsidiaries Tata Consumer Soulfull Pvt Ltd, NourishCo Beverages Ltd and Tata SmartFoodz Ltd, after getting approval from the National Company Law Tribunal (NCLT) and other regulatory clearances.

The company’s regulatory filing read, “The conditions outlined under Clause 17 of the scheme, including the filing of certified copies of the order with the Registrar of Companies of the respective companies, in Form INC-28, have been duly completed. Accordingly, the effective date of the scheme (of merger) is 01 September 2024.”

It added that it was in line with the company's focus on simplifying and streamlining the business.

Meanwhile, there’s no change in the operating structure for the business units and they will continue to stay focused on products that are millet-based, ready-to-drink and ready-to-cook/ready-to- eat. The product portfolios are part of TPCL’s growth strategy.

The company’s products include tea, coffee, water, RTD, salt, pulses, spices, ready-to-cook and ready-to-eat offerings, breakfast cereals, snacks and mini meals.

With a consolidated turnover of Rs.15,206 crore, TPCL owns key beverage brands including Tata Tea, Tetley, Organic India, Tata Copper+, Tata Gluco+, Eight O'Clock Coffee, Tata Coffee Grand and Himalayan Natural Mineral Water.
