Herbert Smith Freehills advises Marex on acquisition from OTCex Group of voice brokerage activities

Executed in 2022, the deal took place recently after local regulatory authorities granted approvals

A leading international law firm Herbert Smith Freehills has advised UK-based Marex on the completion of the acquisition from OTCex Group of its voice brokerage activities.

OTCex is a financial services company specializing in brokerage services in equity, derivative, and interest-rate markets.

Marex is a diversified global financial services platform that provides essential liquidity, market access, and infrastructure services to clients in the energy, commodities, and financial markets.

An agreement for the sale of the shares of HPC SA, OTCex LLC, OTCex Hong Kong, OTCex Asia and OTCex Israel from OTCex to Marex was executed in mid-2022. The completion of the transaction happened recently after approvals were granted by local regulatory authorities in four jurisdictions – France, the UK, the USA, and Hong Kong.

The Herbert Smith Freehills team advising Marex on corporate aspects comprised partner Christopher Theris, senior associate Philippe Tesson, associates François Paulze d’Ivoy and Ornella Youkharibache.

While partner Emma Röhsler and associate Louise Hébert de Beauvoir guided on employment matters, partner Sergio Sorinas advised on competition aspects. The tax matters were handled by partner Bruno Knadjian and associate Margaux Constantes.
