Nishimura & Asahi Advised Goldman Sachs on $530M Buyout of Nihon Housing

Japanese law firm Nishimura & Asahi has acted as legal counsel to Goldman Sachs on its acquisition and privatization of Nihon Housing, a leading building and real estate management company. The $530 million transaction was structured as a management buyout.

Nihon Housing oversees 500,000 units across Japan, Taiwan, Singapore, and Vietnam. In May, the company revealed plans for the management-led buyout, with Goldman Sachs offering a 45.9% premium over the trailing three-month average share price, reflecting strong investor confidence in the deal.

The Nishimura team advising Goldman Sachs was led by Partners Asa Shinkawa, Keitaro Hamada, Kazumaro Kobayashi, and Takashi Saito. The supporting team consisted of Ing-Chian Sun from the Taiwan practice, Tomoro Yoshimoto in Singapore, and Taro Hirosawa, Isamu Imaizumi, and Phan Thien Huong from the Vietnam team.
