Khaitan & Co advised Aditya Infotech and the selling shareholders on the proposed IPO, comprising a fresh issue of equity shares and an offer for sale aggregating up to INR 13,000 million.

The IPO will consist of a fresh equity issue valued at INR 5,000 million (Rs 500 crores) and an OFS worth INR 8,000 million (Rs 800 crores) by the promoters, according to the draft prospectus.

Proceeds from the fresh issue will be used, in part, to pay off INR 3,750 million (Rs 375 crores) in debt, with the remaining funds allocated for general corporate purposes.

Aditya Infotech is a leading provider of advanced video security and surveillance products under the 'CP PLUS' brand, serving both enterprise and consumer markets. The company also offers fully integrated security systems and security-as-a-service solutions, directly and through its distribution network.

ICICI Securities and IIFL Securities are acting as the book-running lead managers for the IPO.

The Khaitan & Co deal team included Partner Gautham Srinivas, Senior Associate Sanjeev Chowdhary, and Associates Vaishnavi Gupta, Vanshika Chaudhry, Ujwal Zutshi, Sarvesh Sharma, Vidushi Tanya, and Anubhav Jaiswal.
